Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Hello Gubby AI Corp. ("Hello Gubby," "we," "us," or "our"). By using the Hello Gubby platform and services (the "Services"), you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Services.

What We Provide

Hello Gubby is an AI powered platform that handles voice calls, chat, and workflows to automate customer interactions for your business. Our Services include AI voice agents for inbound and outbound calls, website voice widgets, chat widgets, video bubble widgets, appointment booking, lead qualification, SMS messaging, CRM integrations, and related features.

Your Account

To use Hello Gubby, you must create an account and provide accurate information about yourself and your business. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access to your account.

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using Hello Gubby on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

Subscriptions and Billing

Hello Gubby offers subscription plans as described on our pricing page. Subscriptions are billed monthly or annually in advance. All fees are quoted in US dollars and are non refundable except as required by law.

If you exceed your plan limits, overage charges may apply as described in your plan details. You authorize us to charge your payment method for all fees associated with your subscription.

You may cancel your subscription at any time through your dashboard. Cancellation takes effect at the end of your current billing period. After cancellation, you will retain access until the end of the period you have paid for.

We reserve the right to change our pricing with at least 30 days notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

Voice Recording and Transcription

The Services create audio recordings and transcripts of calls handled by your AI agent. These recordings are stored in your account for your reference and business use.

You are responsible for complying with all applicable call recording laws in your jurisdiction, including providing proper notice to callers that calls may be recorded. Hello Gubby provides template notices you can customize, but compliance is your responsibility.

We may use anonymized call data to improve our AI and Services.

SMS and Text Messaging

Hello Gubby offers features that allow your AI agent to send SMS messages to callers and contacts. You are solely responsible for obtaining proper consent before sending text messages, complying with the Telephone Consumer Protection Act (TCPA), CAN SPAM Act, Canadian Anti Spam Legislation (CASL), and similar laws in your jurisdiction, and honoring opt out requests promptly.

Message and data rates may apply to recipients. We are not responsible for charges incurred by message recipients.

AI Features and Limitations

Hello Gubby uses artificial intelligence to power voice and chat interactions. You acknowledge that AI technology has limitations and may occasionally produce inaccurate, incomplete, or unexpected responses.

You are responsible for reviewing AI outputs when accuracy is important. Do not rely on AI generated content for decisions that could have significant legal, financial, medical, or personal consequences without human verification.

We continuously work to improve our AI, but we do not guarantee that it will be error free or meet every specific requirement of your business.

Your Data

You retain ownership of your business data, call recordings, transcripts, and other content you provide to or generate through the Services ("Your Data").

You grant Hello Gubby a license to use Your Data to provide and improve the Services, generate transcripts and summaries, develop and enhance our AI capabilities, and fulfill our obligations under these Terms.

We will not sell Your Data to third parties. We may share it with service providers who help operate the platform, subject to confidentiality obligations, or when required by law.

Acceptable Use

Your use of Hello Gubby is subject to our Acceptable Use Policy, which is incorporated into these Terms. You agree not to use the Services for anything illegal, harmful, abusive, or in violation of our policies.

We reserve the right to suspend or terminate accounts that violate our Acceptable Use Policy.

Third Party Integrations

The Services integrate with third party platforms such as calendars, CRMs, and communication tools. Your use of these integrations is subject to the terms and policies of those third parties. We are not responsible for third party services, their availability, or how they handle your data.

Intellectual Property

The Services, including our software, AI models, branding, and content, are owned by Hello Gubby AI Corp. and protected by intellectual property laws. You receive a limited, non exclusive license to use the Services as permitted by these Terms.

You may not copy, modify, distribute, sell, or reverse engineer any part of the Services without our written permission.

Service Availability

We aim for high availability but cannot guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice when possible. We are not liable for downtime, delays, or service interruptions.

Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELLO GUBBY IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 CAD, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold Hello Gubby harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third party rights.

Termination

You may cancel your subscription at any time. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason at our discretion with notice when practical.

Upon termination, your right to use the Services ends. We will retain Your Data for 30 days after termination, after which it will be deleted unless longer retention is required by law.

Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts of British Columbia, Canada.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Services. Continued use after changes take effect constitutes acceptance.
